Terms of Service
Last updated: 23 August 2026
The short version.
- These terms cover using this website — not the project work you hire us for.
- Paid work is governed by the proposal or statement of work we both sign. If the two ever conflict, the signed agreement wins.
- Prices on this site are starting prices in USD. Your real price comes in a written quote before any work begins.
- Sending an enquiry costs you nothing and commits you to nothing.
1. What these terms cover
These terms apply when you use https://pingalit.com, request a quote, send us an enquiry, or hold a partner portal account. They are an agreement between you and Pingal IT Solutions ("we", "us", "our"). If you do not agree with them, please do not use the site.
These terms do not govern paid project work. If you engage us to build, maintain or market something, that work is governed by the separate written proposal or statement of work we both sign, which will cover scope, timeline, payment, acceptance, ownership of deliverables, warranties and support. Where these terms and that signed agreement differ, the signed agreement takes precedence.
2. Using this site
You may read, browse, link to and share this site freely. You agree not to:
- use the site for anything unlawful, or to send us unlawful, abusive, defamatory or knowingly false content;
- submit forms automatically, in bulk, or using someone else's details without their authority;
- attempt to access any part of the site, server, admin area, partner portal or database you have not been granted access to;
- probe, scan or test the site's security, or interfere with its normal operation;
- copy, scrape or republish substantial parts of the site's content as your own, or use it to train a model that reproduces it;
- misrepresent your relationship with us — for example by describing yourself as our partner, agent or reseller when you are not.
If you believe you have found a security vulnerability in this site, please tell us at inquiry@pingalit.com before disclosing it publicly. We will not pursue anyone who reports a genuine issue in good faith and gives us reasonable time to fix it.
3. Enquiries and quotes
Sending an enquiry does not create a contract and costs you nothing. Nothing on this site is an offer capable of acceptance — it is an invitation for you to get in touch.
A quote becomes binding only when we issue it in writing for your specific scope and you accept it in writing. Until then either of us can walk away. We may decline any enquiry, and we are not obliged to give a reason.
Please do not send confidential information in an initial enquiry. If you need an NDA before discussing your project, ask and we will put one in place first.
4. Prices shown on this site
Prices shown on this site are starting prices in US dollars (USD). They indicate the floor for a straightforward piece of work — not the price of your project. The actual price depends on scope, and you will always get a fixed written quote before any work begins.
- We can invoice in GBP, EUR, AUD or INR on request; the converted amount is set at the time of quoting.
- Prices on this site are indicative and may change at any time without notice.
- Taxes and third-party costs — hosting, domains, paid plugins and licences, app-store fees, advertising spend — are not included unless a written quote says otherwise.
5. Partner portal accounts
If your partner application is approved, we create an account for you on the partner portal. You are responsible for keeping your password confidential and for everything done through your account. Tell us immediately at inquiry@pingalit.com if you think it has been compromised.
Accounts are personal to the approved partner and may not be shared, sold or transferred. We may suspend or close an account that is being misused, or where the partner relationship has ended.
6. The referral programme
The commission rates described on our partner programme page are the basis on which we work with referral partners. Commission becomes payable after the referred client has completed their project payment to us — not on introduction, and not on signature.
When you submit a referral you confirm that you have a legitimate business reason for passing on that person's details and are entitled to do so. How we handle referred contacts' personal data — and their right to have it deleted — is explained in our Privacy Policy.
We may decline a referral, including one for an organisation we are already in contact with.
How the referral programme works
These are the headline terms of our signed Referral Partner Agreement, published so you can read them before you refer anyone. The signed agreement is the binding document — if anything here is unclear, the agreement governs, and we will send you a copy on request.
Commission
Commission is tiered on the total project value, not negotiated case by case:
| Project value (USD) | Commission | Example payout |
|---|---|---|
| $500 – $2,000 | 10% | $50 – $200 |
| $2,001 – $5,000 | 12% | $240 – $600 |
| Above $5,000 | 15% | $750+ |
Commission is calculated on the net project value, excluding taxes, third-party costs and hosting fees.
When you get paid
- Within 15 business days of us receiving full or first instalment payment from the referred client — you do not wait for the project to finish.
- By bank transfer, PayPal, Wise or another method we agree. You provide the payment details; any transaction fees are yours unless we agree otherwise in writing.
When a referral qualifies
- The client was introduced by you and had not previously been in contact with us.
- They enter a paid project agreement with us within 6 months of the referral date.
- The referral was documented in writing before the client's first meeting with us — submitting it through the partner portal is the simplest way to do that, and timestamps it for you.
The rest of it
- Free to join, no targets. No fee, no quota, no minimum activity, and no penalty for referring nothing.
- Non-exclusive. You may refer clients to anyone else, and we work with other partners.
- You are an independent contractor — not our employee or agent. You have no authority to bind us, quote prices on our behalf, or commit us to scope or timelines.
- Confidentiality runs both ways and survives for 2 years after the agreement ends.
- Either side may terminate on 30 days' written notice. Terminating does not cancel commission on referrals made beforehand, provided the project is confirmed and paid inside the 6-month eligibility window.
- Governed by the laws of India, with exclusive jurisdiction in the courts of Jaipur, Rajasthan.
When you submit a referral you also confirm you have a legitimate business reason for passing on that person's details. How we handle them, and their right to have them deleted, is in our Privacy Policy.
7. Intellectual property
The design, text, code, logos, images and structure of this site belong to us or our licensors and are protected by copyright and trade mark law. The Pingal IT Solutions name and logo may not be used without our written permission.
You may quote short extracts from our blog with attribution and a link back. You may not republish whole articles.
Ownership of work we produce for you is dealt with in your signed agreement, not here.
8. What you send us
You keep ownership of everything you submit through our forms. By submitting it you confirm you are entitled to send it, and you give us permission to use it for the purpose you sent it for — replying to your enquiry, preparing a quote, assessing a job application, or processing a referral. We handle it as described in our Privacy Policy.
Feedback. If you send us suggestions about our services or this site, we may act on them freely and without obligation to you. We will not treat unsolicited feedback as confidential unless you have asked us to first and we have agreed.
Testimonials. We will not publish your name, your company's name or your words as a testimonial or case study without asking you first.
9. No guarantee of specific results
We offer SEO and digital marketing services. Search rankings, traffic and conversion rates depend on factors outside anyone's control — search engine algorithms, competitors, your market and your own commercial decisions among them.
We do not guarantee any particular ranking, traffic volume, lead count or revenue figure, and you should treat any agency that does with suspicion. What we commit to is the scope of work in your signed agreement, carried out competently and reported honestly.
10. Third-party links and services
This site links to services we do not control, including WhatsApp, LinkedIn, Facebook, Instagram, Trustpilot and Dun & Bradstreet. We are not responsible for their content, availability or privacy practices, and a link is not an endorsement of anything else they host. Your use of those services is governed by their terms, not ours.
11. Availability
We try to keep this site available, but we do not guarantee it will be uninterrupted or error-free. We may change, suspend or withdraw any part of it, including the partner portal, without notice. Availability commitments for work we host or maintain for you live in your signed agreement.
12. Site content is not advice
The information on this site is general guidance about our services. We take care to keep it accurate, but we do not warrant that it is complete or current, and it is not professional advice for your specific situation.
Our blog describes our own experience. Test anything you find there before applying it to your own systems — we cannot be responsible for the outcome of code or configuration you deploy yourself.
13. Liability
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
Subject to that, and in relation to your use of this website, we are not liable for:
- indirect or consequential loss;
- loss of profit, revenue, business, opportunity, goodwill or anticipated savings;
- loss or corruption of data;
- losses arising from your reliance on general information published on this site.
If you are a consumer, none of this affects your statutory rights. Liability for paid project work is dealt with in your signed agreement, which will normally set its own cap.
14. Indemnity
If you breach section 2 (Using this site) or section 8 (What you send us) and that causes a third-party claim against us, you agree to cover the reasonable costs we incur in dealing with it. This does not apply to consumers acting outside a business.
15. Suspension and termination
We may restrict or withdraw your access to this site, our forms or the partner portal if we reasonably believe you have breached these terms. Where it is practical and lawful to do so, we will tell you why and give you a chance to put it right first.
16. General terms
- Changes. We may update these terms. The version published here, with the date at the top, is the one that applies to your use of the site.
- Severability. If any part of these terms is found unenforceable, the rest continues to apply.
- No waiver. If we do not enforce a term straight away, we do not lose the right to enforce it later.
- Assignment. You may not transfer your rights under these terms without our written consent. We may transfer ours as part of a business reorganisation, provided your rights are not reduced.
- Third parties. Nobody other than you and us has any right to enforce these terms.
- Force majeure. Neither of us is liable for failures caused by events genuinely outside our reasonable control.
- Notices. Notices to us should go to inquiry@pingalit.com. Notices to you go to the email address you gave us.
- Entire agreement. For your use of this website, these terms and the Privacy Policy are the whole agreement between us.
17. Governing law and jurisdiction
These terms, and any dispute arising out of them or out of your use of this site, are governed by the laws of India. The courts of Jaipur, Rajasthan have jurisdiction, subject to the two paragraphs below.
If you are a consumer in the UK, the EEA or Australia, nothing above takes away the protection of the mandatory consumer laws of the country you live in. You keep the right to bring proceedings in your own local courts and to rely on any rule of your local law that cannot be excluded by agreement. Where your local law gives you a stronger right than these terms do, your local law applies.
Data protection sits outside this clause. Choosing Indian law does not change which data protection law applies to your personal data — the UK GDPR, EU GDPR, Australian Privacy Principles, the California CCPA/CPRA and India's Digital Personal Data Protection Act, 2023 each apply on their own terms wherever they reach you. How we meet them, and how to exercise your rights under each, is set out in our Privacy Policy.
For business (non-consumer) clients, Indian law and the Jaipur courts apply without the carve-out above — unless a signed statement of work says otherwise, in which case that agreement governs the work it covers.
We are an Indian company writing for clients in several jurisdictions. This clause is drafted to be honest about that rather than to over-reach, but it is not a substitute for advice on your own situation.
